These Terms of Service ("Terms") govern your use of the Agrovia accounting, bookkeeping, tax-preparation and practice-management software and website (the "Service"), operated by Agrovia ("Agrovia," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Important — Agrovia is software, not a licensed professional. Agrovia is a tool that helps you organize records and prepare forms. It is not a certified public accountant, enrolled agent, tax advisor, attorney, or financial advisor, and using it does not create any such relationship. Calculations, tax forms, estimates, and reports Agrovia produces are preparation aids and estimates — not professional advice and not a guarantee of any outcome. You are responsible for reviewing everything for accuracy and completeness, and for consulting a licensed professional before filing anything or making financial decisions.

1. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

2. No tax, accounting, legal, or financial advice

The Service may generate tax figures (including but not limited to Schedule C/F, estimated taxes, payroll and 941/940 amounts, 1099/W-2 data, and accrual and inventory calculations), financial statements, and other outputs. These are generated automatically from the data you enter and are provided for informational and preparation purposes only. They are estimates that may be incomplete or incorrect, do not account for every rule that may apply to your situation, and must not be relied upon as tax, accounting, legal, or financial advice. You are solely responsible for the accuracy of your data and filings and for meeting all deadlines. We strongly recommend review by a qualified CPA, enrolled agent, or attorney before filing or acting.

3. E-filing through third-party providers

Where Agrovia offers electronic filing (e.g., Forms 941, 940, 1099, W-2), transmission to the IRS, SSA, or state agencies is performed by third-party providers (such as TaxBandits) under their own terms. Agrovia does not itself file returns with any government agency and does not guarantee that any return will be accepted, processed, or accepted on time. You authorize the transmission of the return data you submit, and you remain responsible for its accuracy, for signing where required, and for any taxes, penalties, or interest. A submission is not "filed" until the provider confirms acceptance by the relevant agency; a staged, test, sandbox, or pending submission has not been filed.

4. Your responsibilities

You are responsible for entering accurate and complete information (including EINs, wages, and payment details), for obtaining any authorizations needed to act on behalf of a client or business, for retaining your own records, and for complying with all laws that apply to you, including tax, employment, privacy, and anti-spam laws. You will not use the Service to send unsolicited bulk messages or to violate any third party's rights.

5. Subscriptions, billing, and cancellation

Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). By subscribing you authorize recurring charges to your payment method until you cancel. Fees are stated at signup and may change on notice. Overage and add-on charges apply as described in the app. You may cancel at any time, effective at the end of the current billing period; unless required by law, fees already paid are non-refundable. Failure to pay may result in suspension or downgrade of your account.

6. Third-party services

The Service integrates with third parties including, among others, Stripe (payments), Plaid (bank connections), TaxBandits (e-filing), Resend (email), and Supabase (hosting and data storage). Your use of those features is also subject to those providers' terms and privacy policies. We are not responsible for third-party services, their availability, or their acts or omissions.

7. Intellectual property and your data

The Service, including its software, design, and content, is owned by Agrovia and protected by law; we grant you a limited, non-exclusive, non-transferable right to use it while your account is in good standing. You retain ownership of the data you enter ("Your Data"), and you grant us the rights necessary to host, process, and display Your Data to operate and improve the Service. Our handling of personal data is described in our Privacy Policy.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CALCULATION, FORM, OR FILING WILL BE ACCURATE OR ACCEPTED.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGROVIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TAXES, PENALTIES, INTEREST, LOST PROFITS, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold Agrovia harmless from claims, losses, and expenses (including reasonable legal fees) arising from your data, your use of the Service, your filings, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Service or other users. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 2, 3, 8, 9, and 10) will survive.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use after changes take effect constitutes acceptance.

13. Governing law and contact

These Terms are governed by the laws of the United States and the state in which Agrovia is organized, without regard to conflict-of-laws rules. Questions about these Terms can be directed to the contact address listed in the app or on our website.

Agrovia ("Agrovia," "we," "us," or "our") provides accounting, bookkeeping, and practice-management software for businesses and accounting firms. This Privacy Policy explains what information we collect, how we use it, who we share it with, and the choices you have. By creating an account or using Agrovia, you agree to the practices described here.

1. Information We Collect

Account information: name, business/firm name, email address, password (stored securely by our authentication provider), role (business owner, CPA/accountant, or staff), and plan/billing tier.

Financial and business data: transactions, ledger entries, invoices, categories, bank account balances and transaction history (if you connect a bank account), documents and files you upload, client records, payroll and employee data, engagement letters, and tax-related forms (e.g., Schedule F, 1099-NEC) you create in the app.

Payment information: if you subscribe to a paid plan, our payment processor (Stripe) collects and stores your card/billing details directly — Agrovia does not store your full card number.

Bank connection data: if you link a bank account, our banking-data provider (Plaid) securely connects to your financial institution and shares account and transaction data with us; we do not receive or store your bank login credentials.

AI Copilot interactions: questions and data you send to the in-app AI assistant are processed by our AI provider (Anthropic) to generate a response.

Usage data: log and device information such as IP address, browser type, and pages/features used, collected automatically to help us operate and improve the service.

2. How We Use Information

We use the information above to: provide and operate the accounting, invoicing, ledger, and reporting features you use; authenticate your account and enforce access controls between businesses, firms, and staff; process payments and manage subscriptions; connect and sync bank account data you authorize; power the AI Copilot and AI-assisted transaction categorization; generate tax and compliance documents you request; maintain an audit trail of changes for compliance and security; communicate with you about your account, invoices, or support requests; and improve, secure, and troubleshoot the service.

3. Who We Share Information With

We do not sell your personal or financial information. We share information only with:

• Supabase — our database, authentication, and file-storage provider, which hosts your account and business data.

• Plaid — to securely connect and retrieve data from your linked bank accounts, if you choose to connect one.

• Stripe — to process subscription payments.

• Anthropic — to power the AI Copilot and AI-assisted categorization features.

• Your accountant or client — if you use Agrovia's business–CPA linking feature, data is shared only with the specific firm or client you invite and only at the access level (shared or full transfer) you choose; you can review and revoke these connections at any time.

We may also disclose information if required by law, to protect our rights, or in connection with a merger, acquisition, or sale of assets (with notice to you).

4. Data Security

We use industry-standard safeguards, including encryption in transit, database-level access controls (row-level security scoped to your account, firm, or authorized staff), and role-based permissions to protect your data. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

5. Data Retention

We retain your account and financial data for as long as your account is active, and afterward as needed to comply with legal, tax, and accounting record-keeping obligations, resolve disputes, and enforce our agreements. You can request deletion of your account and associated data as described below, subject to any records we are legally required to retain.

6. Your Rights and Choices

You may access, update, export, or delete most of your data directly within the app. You may also contact us to request a copy of your data, correction of inaccurate data, deletion of your account, or to withdraw consent for optional features such as bank connections or the AI Copilot. Depending on where you live, you may have additional rights under laws such as the GDPR or CCPA/CPRA, including the right to know what data we hold, to opt out of certain data sharing, and to lodge a complaint with a supervisory authority.

7. Cookies and Similar Technologies

We use essential cookies and local storage to keep you signed in, remember preferences, and operate core app functionality. We do not use third-party advertising trackers.

8. Children's Privacy

Agrovia is intended for business use and is not directed at children under 16. We do not knowingly collect personal information from children.

9. International Users

Your information may be processed and stored in the United States or other countries where our service providers operate. By using Agrovia, you consent to this transfer and processing.

10. Changes to This Policy

We may update this Privacy Policy from time to time. If we make material changes, we will notify you by email or through an in-app notice. The "Last updated" date at the top of this page reflects the most recent revision.
